Overprint greyed out

Hello,

I have some questions about overprinting an object. Here, the object is either a placed file or a symbol. Both objects only contain K component (the placed file has a transparent background). Ideally, These objects are placed above a uniform colour background layer, that colour only being composed of CMY (no K).

1- Ideally, I would like the two objects to overprint on the coloured background. However, Illustrator does not give me the option of selecting Overprint attributes for those objects in the Attributes panel (grayed out). Why is that? Is there another way to set overprint attributes?

2- In print, to obtain the same result as if I had set overprint, I suppose I could use either Multiply or Darken for either object here, given the colour composition of object and background layer. Correct?

This is for CS4.

Thank you.
