EPS doesn't support transparency. Transparency is in pretty much everything nowadays. So saving into CS5 is better than saving into EPS.
But in CS6 Illustrator got a new Gaussian blur. Everything that contains Gaussian blur in CS6 and above will be flattened when saving into CS5. This affects the drop shadow among other stuff.
